Terms of Service

1. Acceptance of These Terms

By accessing or using SYNC, you agree to these Terms of Service and the Privacy Policy. If you do not agree with these Terms, do not use the service.

If you use SYNC on behalf of another person, household, organization, or entity, you represent that you have authority to accept these Terms on its behalf.

2. About SYNC

SYNC is a personal and shared-life organization service intended to help users organize routines, plans, goals, moments, important dates, savings goals, reminders, and other everyday information.

SYNC may offer Solo, Couple, and Family modes. Features, permissions, availability, and pricing may change as the product develops. A feature described on the marketing website as upcoming or coming soon is not necessarily available for use.

3. Eligibility and Accounts

You must provide information that is reasonably accurate when creating or maintaining an account. You are responsible for keeping your login credentials secure and for activity performed through your account, except where applicable law provides otherwise.

You must not create an account using another person's identity without authorization, impersonate another person, or provide information that you know is materially false or misleading.

SYNC is intended primarily for adults and users who can legally enter into an agreement. If a future feature is specifically designed for children or other minors, additional requirements, permissions, notices, and safeguards will apply as described by the product and applicable law.

4. Your Content and Information

You retain ownership of the content and information that you submit to SYNC, subject to the rights necessary for SYNC and its service providers to host, store, transmit, display, synchronize, back up, and otherwise process that content solely to provide and maintain the service.

You are responsible for having the necessary rights, authority, and permissions to submit information to SYNC, especially information concerning another person.

You must not use SYNC to upload or share content that is unlawful, fraudulent, abusive, defamatory, infringing, malicious, or otherwise prohibited by applicable law.

5. Solo, Couple, and Family Use

Solo

Solo mode is intended for information you manage for your own personal use. You remain responsible for deciding what information you enter into the service.

Couple

When you connect with another user, information that the product identifies as shared may become visible to that connected person. You should review sharing and visibility before entering information you intend to keep private.

Family

Family functionality may include household sharing and differentiated access. Because Family features may evolve, the actual permissions and visibility controls presented in the product at the time of use govern that feature.

If you add information about a child or another person, you are responsible for using SYNC only where you have the legal authority or appropriate permission to do so.

6. Acceptable Use

You agree not to:

• use SYNC for unlawful, fraudulent, abusive, or harmful activities;
• attempt to gain unauthorized access to another user's account, data, or connected space;
• interfere with, disrupt, overload, or circumvent security or technical controls;
• reverse engineer, decompile, or attempt to extract source code from the service except where applicable law expressly permits it;
• use automated means to access or scrape the service in a way that violates reasonable technical restrictions;
• introduce malware, malicious code, or other harmful material;
• infringe intellectual property, privacy, or other rights of SYNC or another person; or
• use the service to facilitate conduct prohibited by applicable Philippine law or other law that applies to your use.

7. Reminders, Plans, and Notifications

SYNC may provide reminders, notifications, schedules, progress information, or other organizational prompts. These features are intended as organizational tools and should not be treated as guarantees that an event, deadline, appointment, payment, obligation, or other real-world activity will occur or be remembered.

You remain responsible for independently verifying important dates, deadlines, appointments, financial obligations, and other matters where an error or missed notification could cause harm or loss.

8. Savings and Financial Information

SYNC's savings and financial organization features are for personal organization and tracking. SYNC is not a bank, deposit-taking institution, lender, broker, investment adviser, payment service provider, or financial institution merely because the product may allow you to record savings goals or financial information.

SYNC does not provide financial, investment, tax, accounting, or legal advice through ordinary organizational features. You are responsible for verifying financial information and obtaining professional advice where appropriate.

9. Intellectual Property

The SYNC service, including its software, interface, visual design, branding, logos, text, graphics, and other materials provided by SYNC, is owned by or licensed to SYNC and is protected by applicable intellectual property laws.

Except for rights expressly granted in these Terms or by law, you may not copy, reproduce, distribute, modify, publicly display, sell, sublicense, or create derivative works from SYNC materials without authorization.

Nothing in these Terms transfers ownership of SYNC intellectual property to you.

10. Privacy

Your use of SYNC involves the processing of personal information. The Privacy Policy explains how SYNC collects, uses, shares, protects, and retains personal information and how data subjects may exercise their rights under applicable Philippine privacy law.

Where these Terms and the Privacy Policy address different subjects, each applies to its respective subject matter. Nothing in these Terms is intended to limit rights granted to data subjects by applicable law.

11. Third-Party Services

SYNC may depend on or integrate with third-party services such as hosting, authentication, databases, cloud infrastructure, email, notifications, analytics, or other technology providers. Third-party services may have their own terms, privacy policies, limitations, and availability.

SYNC is not responsible for independent services that it does not control, except to the extent liability cannot lawfully be excluded or limited.

12. Service Availability and Changes

SYNC is a developing product. Features may be introduced, changed, suspended, discontinued, or temporarily unavailable for maintenance, security, technical, business, or other legitimate reasons.

We will make reasonable efforts to maintain the service, but we do not promise that SYNC will always be available, uninterrupted, error-free, or compatible with every device or software environment.

13. Beta and Experimental Features

Some features may be offered as beta, preview, experimental, or early-access functionality. Such features may contain errors, have incomplete functionality, or change substantially before general availability.

You should avoid relying on experimental features as the sole record of information that is critical, legally significant, safety-critical, or otherwise irreplaceable.

14. Suspension and Termination

You may stop using SYNC at any time. Subject to applicable law, SYNC may suspend or terminate access where reasonably necessary to protect users, the service, security, legal compliance, or legitimate business interests, including where these Terms are materially violated.

Where appropriate and reasonably practicable, SYNC may provide notice before suspension or termination. Immediate action may be taken where necessary to address security threats, unlawful activity, abuse, or other circumstances requiring urgent action.

Termination does not automatically extinguish provisions that by their nature should continue, including intellectual property, limitations, dispute provisions, and obligations arising before termination.

15. Disclaimers

To the extent permitted by applicable law, SYNC is provided on an “as available” basis. SYNC does not guarantee that the service will meet every personal requirement, operate without interruption, or be completely free from errors or security risks.

SYNC is an organizational tool. It does not replace professional medical, legal, financial, tax, mental-health, emergency, or other professional services.

Nothing in these Terms excludes or limits liability, consumer rights, privacy rights, or other protections that cannot lawfully be excluded or limited under Philippine law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, SYNC and its operators will not be responsible for indirect, incidental, special, consequential, or similar losses arising from use of the service where such limitation is legally permitted.

This provision does not exclude liability for matters that Philippine law does not permit a service provider to exclude or limit, including liability that cannot legally be waived or limited by contract.

17. Indemnity

To the extent permitted by applicable law, you agree to be responsible for claims, losses, or reasonable costs arising from your unlawful use of SYNC, your material violation of these Terms, or your infringement of another person's rights through content or information you submit to the service.

This provision does not require you to indemnify SYNC for losses caused by SYNC's own unlawful conduct or for matters that cannot legally be shifted to you.

18. Governing Law

These Terms are intended to be governed by the laws of the Republic of the Philippines, without prejudice to mandatory rights or protections that may apply to a user under applicable law.

Any dispute should first be raised with SYNC through the contact information below so the parties can attempt to resolve the matter in good faith. Where a dispute cannot be resolved informally, the appropriate Philippine court or other lawful dispute-resolution forum may have jurisdiction as provided by applicable law.

19. Changes to These Terms

SYNC may update these Terms when the service, business arrangements, features, or applicable legal requirements change. The updated version will be posted on this page with a new “Last updated” date. Where required by law or appropriate because a change is material, SYNC will provide additional notice.

Continued use of the service after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

20. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure to enforce a provision on one occasion does not automatically constitute a waiver of the right to enforce it later.

These Terms are designed as a product-level terms framework and should be reviewed by a Philippine lawyer or qualified legal professional before SYNC is commercially launched at scale, especially before introducing paid subscriptions, handling regulated transactions, collecting information from minors, or entering material third-party/data-processing agreements.

Nothing in these Terms should be interpreted as a waiver of rights or protections granted by mandatory Philippine law.
